Bravado Network Product-Specific Terms

Terms Applicable to any Opportunity: 

Based on a Business’ search criteria, parameters, and objectives, Bravado (either via Talent or Hunter) will present certain Members and non-members (“Candidates”) profiles to such Business based on a Candidate’s experience, skill sets, and past sales performance. Businesses may hire Candidates as full-time employees or engage Candidates as contractors. Businesses acknowledge and agree that a Candidate may, at his/her/their discretion, agree to accept an Employment or Contractor Opportunity from a Business. 

With respect to any Employment or Contractor Opportunity accepted by a Candidate, you will promptly provide to the Candidate the agreement and documentation that will govern the employment or contractor arrangement with such Candidate. 

Bravado Network – Hunter Product-Specific Additional Terms 

These Bravado Network Hunter Product Specific Additional Terms (“Product Terms”) apply to businesses or companies (a “Business”, “you” or “your”) utilizing the Products specified below, and where you order such Products, supplement the Bravado Network Terms of Service for Businesses available at https://info.bravado.co/bravado-network-terms-of-service-for-businesses or another agreement entered between Business and Bravado (the “Business Terms”). The Product Terms are made under, incorporated into and subject to the Business Terms. Capitalized terms used and not defined in the Product Terms have the meanings given to them in the Business Terms.

The following terms apply only to the Product indicated in the Section title.

Terms Applicable to Hunter

Hunter provides an AI-powered platform to help Businesses efficiently discover, engage and/or hire Bravado Candidates. 

Hunter will collaborate with Businesses to calibrate the AI Services on the role requirements. Based on a Business’ search criteria, parameters, and objectives, Hunter will present Candidate profiles that align with the specified experience, skill sets and past sales performance, and reach out on behalf of the Business to these Candidates using automated and/or AI-powered communications.  Additionally, Hunter may provide tools that facilitate Businesses in scoring resumes from inbound applicants and scheduling interviews between Candidates and hiring managers.   

Given the early state of AI technology, we also acknowledge that there are areas that we will need to continually improve on so that we can continuously enhance the performance and usability of Hunter.  PLEASE CAREFULLY REVIEW THE SECTIONS ON AI SERVICES IN THE BUSINESS TERMS FOR ADDITIONAL INFORMATION ON THE AI SERVICES AND BRAVADO’S AND THE BUSINESS’ RESPONSIBILITIES TO COMPLY WITH APPLICABLE LAW AND REGULATIONS.  

Bravado Network – Talent Agency Product-Specific Additional Terms 

These Bravado Network Talent Agency Product Specific Additional Terms (“Product Terms”) apply to businesses or companies (a “Business”, “you” or “your”) utilizing the Products specified below, and where you order such Products, supplement the Bravado Network Terms of Service for Businesses available at https://info.bravado.co/bravado-network-terms-of-service-for-businesses or another agreement entered between Business and Bravado (the “Business Terms”). The Product Terms are made under, incorporated into and subject to the Business Terms. Capitalized terms used and not defined in the Product Terms have the meanings given to them in the Business Terms.

The following terms apply only to the Product indicated in the Section title.

Terms Applicable to Bravado Talent Agency Services

Replacement Searches. If a Candidate is successfully placed by Bravado Talent Agency Services in connection with an Opportunity and the Replacement Search Criteria (as defined below) are met, as reasonably determined by Bravado, Bravado has a 60-day right to perform a one-time replacement search. Bravado will conduct the replacement search for no additional fees. For the avoidance of doubt, Bravado will have no other liability whatsoever with regard to any Candidate to whom the Business may be introduced.

If after 60 days, Bravado has not replaced the Employee with a replacement Employee acceptable to Business, and provided that the Business has paid Bravado its entire Success Fee within Thirty (30) calendar days after the Candidate’s Start Date, Bravado will provide a Prorated Refund to Business.

The Prorated Refund is calculated as follows: 1/90th of the fee is refunded per day for each day candidate was terminated during the first 90 calendar days after Start Date. Business must notify Bravado in writing within ten (10) business days after said termination to qualify for Warranty. Refund/replacement is void if any of the following occur during the Candidate’s first 90 days of employment: the employment of the Candidate’s direct supervisor is terminated, voluntarily or involuntarily; company reduction in force; company layoffs; company restructuring; company merger or acquisition; company insolvency/bankruptcy; or acts of God.

The Business is entitled to a replacement search if all of the following “Replacement Search Criteria” are met:

  1. The applicable Candidate is terminated for cause or leaves for any reason within: three (3) to six (6) months, as specified in your Order Form, of commencing employment; 

  2. it notifies Bravado in writing of the Candidate’s departure within 7 days of such departure;

  3. it is ready to commence a replacement search within 14 days of such notice;

  4. there are no material changes in the applicable Candidate, the Business and/or role. Examples of these changes include but are not limited to (i) death or medical disability of the Candidate, (ii) elimination of the role, (iii) the replacement position materially changes in scope, title, compensation, reporting structure (e.g. change in “hiring manager”), or location from the original search, or (iv) a layoff or reduction in force by the Business; and 

  5. the Business has paid all applicable fees under these Terms and no late fee was ever accrued.  

Success Fee. Bravado requires you to make a one-time payment to Bravado if the Business (or any related entity) hires any Candidate that Bravado introduced to it during the course of Bravado’s provision of the Services or within six (6) months following the completion or termination of the Services (“Success Fee”). The Success Fee is calculated based on a percentage of the Candidate’s agreed-upon base salary or other compensation rate for the first year of employment or first year of a contracting engagement, as applicable. The percentage will be stipulated in your Order Form. The Success Fee is not applied to any variable or incentive compensation. You must make that Success Fee within the period specified in the Order Form. For clarity, you must also still pay (i) the applicable Candidate whom you employed the salary and any incentive compensation in accordance with the employment agreement between such Candidate and you and (ii) the applicable Candidate whom you engaged the compensation in accordance with the contractor agreement between such Candidate and you.
